Terms of Use

01Application

• These Terms apply to all relationships between the Company and Users concerning use of the Site and purchases through the Site.
• Rules, guidelines, precautions, and other provisions separately established by the Company on the Site (the “Individual Provisions”) form part of these Terms. If they differ from these Terms, the Individual Provisions take precedence.
• Important matters concerning sales, including seller information, shipping fees, payment timing, delivery timing, and return conditions, are set out in the Company’s Commercial Transaction Information. Please review it together with these Terms. If the two documents differ, the Commercial Transaction Information takes precedence.

02Definitions

The terms used in these Terms are defined as follows.

• “Products” means tea leaves, tea products (including bottled tea), and other products sold by the Company through the Site.
• “Payment Service” means the payment processing service provided by Stripe, Inc. and Stripe Payments Japan K.K. used by the Company.

03Changes to These Terms

• The Company may change these Terms at any time without prior notice when it deems this necessary. For material changes disadvantageous to Users, the Company will give notice by posting on the Site or similar means with a reasonable advance period.
• Amended Terms take effect when posted on the Site. If a User uses the Site after the posting, the User is deemed to have agreed to the amended Terms.

04Seller of Products

Products sold on the Site are purchased by the Company from suppliers (manufacturers, tea producers, and others) and sold to Users by the Company as seller. The sales contract is formed between the Company and the User, and the Company bears responsibility for Products under these Terms and applicable laws.

05Formation of Sales Contracts

• Users apply to purchase Products through the method specified on the Site.
• A sales contract is formed when the Company confirms the order in response to the User’s application and the payment under Article 6 is successfully completed.
• Notwithstanding the preceding paragraph, the Company may decline all or part of an order or cancel a contract after it has been formed if any of the following applies.
  • When stock is insufficient
  • When the User has previously violated these Terms
  • When the displayed Product price is incorrect
  • When payment cannot be completed successfully
  • When the Company otherwise deems the transaction inappropriate

06Prices and Payment

• Product prices are the tax-inclusive amounts displayed on each Product page. Shipping and other costs are separately specified and shown during checkout.
• Payment is by credit card through the Payment Service (Stripe).
• Payment is charged when the User’s order is confirmed.
• Terms for credit card and other payment are governed by the agreement between the User and the card issuer. Any dispute between them must be resolved by those parties, and the Company bears no responsibility.
• Users provide payment information directly to the Payment Service; the Company does not retain credit card numbers or other payment information.

07Information at Order

• Users must accurately enter information necessary for shipping and payment (name, address, telephone number, email address, shipping information, and so on) in the fields specified on the Site.
• The Company is not responsible for non-delivery, delay, or other disadvantage caused by incorrect or incomplete information. Users may be responsible for reshipping costs (Article 10, paragraph 5).

08Delivery

• Delivery is made by shipping Products to the address designated by the User. The Company selects the carrier and cannot accept a User’s carrier request.
• Shipping fees and delivery timing are set out on Product pages and in the Commercial Transaction Information. Products are normally shipped within seven business days after the Company confirms the order; made-to-order bottled tea and pre-order Products follow their separately stated shipping schedule.
• Shipping timing may change due to stock, delivery conditions, weather, tea-leaf harvest or production conditions, or other unavoidable circumstances.
• Ownership transfers to the User when the Company ships the Product. Risk of loss or damage arising after delivery transfers to the User upon delivery.

09Food Products

• Products are food items. Each Product page or package displays legally required information, including ingredients, origin, quantity, best-before date, storage method, and allergens.
• Users must check food labeling on the Product page before purchase and confirm allergy information at their own responsibility.
• The best-before date indicates the period of quality when unopened and stored as directed. After opening, consume as soon as possible regardless of the date.
• After delivery, store Products properly according to the stated storage method. The Company is not responsible for deterioration caused by improper storage.

10Cancellation, Returns, and Exchanges

• Because Products are food items, returns, exchanges, and cancellations for User convenience are not accepted for quality and hygiene reasons. The same applies to ordering mistakes, differences from expectations, taste or aroma preferences, and refusal to receive delivery.
• Notwithstanding the preceding paragraph, pre-order Products may be cancelled by email before the Company begins shipping.
• For damage, soiling, incorrect delivery, defects, or other fault attributable to the Company, contact us by email or telephone within five days of delivery. We will exchange or refund at our expense; if an exchange is difficult due to stock, we may issue a refund.
• In the preceding case, Users must not discard the Product without the Company’s instructions.
• If a Product is returned to the Company due to prolonged absence, refusal, an incorrect address, or another User convenience, the User bears reshipping and return costs. Because Products are food, we cannot refund the price of returned Products.
• The conditions in this Article and the Commercial Transaction Information apply as special provisions concerning withdrawal of a consumer application or cancellation of a contract (Article 15-3 of the Act on Specified Commercial Transactions).

11Prohibited Acts

Users must not engage in any of the following acts when using the Site.

• Acts that violate laws or public order and morals
• Acts related to criminal activity
• Acts that infringe the intellectual property, property, privacy, reputation, or other rights or interests of the Company, another User, or a third party
• Registering or entering false information
• Purchasing Products or making payment through improper means, including unauthorized credit card use
• Purchasing Products for resale or other commercial purposes, except as separately approved by the Company
• Interfering with Site operations or placing excessive load on the Company’s servers or network
• Other acts the Company deems inappropriate

12Cancellation of User Status

If a User falls under any of the following, the Company may cancel the User’s order, terminate the contract, or restrict use of the Site without prior notice. The Company is not liable for damage caused to the User as a result.

• Violation of any provision of these Terms
• Discovery of false facts in registered or entered information
• Failure of payment or other breach of obligations
• Other cases in which the Company deems Site use inappropriate

13Disclaimer

• The Company strives for reasonable accuracy in Product information, quality, safety, and so on posted on the Site but does not warrant that they are complete or accurate.
• Except in cases of the Company’s willful misconduct or gross negligence, the Company is not liable for damage to Users arising from interruption, suspension, termination, unavailability, or change of the Site; failure or damage of User equipment; loss of data; or otherwise in connection with the Site.
• Even if the Company is liable for damages, the amount is capped at the purchase price of the Product that caused the damage, except in cases of willful misconduct or gross negligence by the Company.
• Disputes between a User and another User or third party must be resolved by the User at the User’s responsibility and expense; the Company is not involved and bears no liability.

14Intellectual Property

Copyright and other intellectual property rights in text, images, logos, designs, and other content posted on the Site belong to the Company or legitimate rights holders. Users must not reproduce, reuse, modify, redistribute, or otherwise use them without the Company’s prior consent.

15Personal Information

• The Company appropriately handles personal information collected through use of the Site in accordance with its Privacy Policy.
• Payment information is processed by the Payment Service (Stripe), and the Company does not retain credit card numbers or other payment information.

16Inquiries

Inquiries about the Site and Products are accepted by the email contact listed in the Commercial Transaction Information. Hours follow that information. The Company will endeavor to respond within a reasonable period but does not guarantee a response time.

17Exclusion of Antisocial Forces

Users represent and warrant that they are not organized crime groups, members thereof, or other antisocial forces, and have no relationship with them. If a User breaches this, the Company may terminate the contract or suspend use without notice or demand.

18Severability

If any provision or part of these Terms is held invalid or unenforceable under applicable law, the remaining provisions and the other parts of that provision remain in effect.

19Governing Law and Jurisdiction

• These Terms and all matters concerning use of the Site are governed by and construed under the laws of Japan.
• The Tokyo District Court has exclusive agreed jurisdiction as the court of first instance for disputes between the Company and a User concerning the Site or these Terms.
